AI COMMUNITY MANAGER SERVICE AGREEMENT
This Agreement (“Agreement”) is entered into between Bondo Inc. (GroupIntros) (“Provider”) and (“Customer”).
1. SERVICES PROVIDED
Provider agrees to deliver an AI-powered community engagement tool that facilitates automated introductions and communications among Customer’s members.
Included Features:
AI-generated member introductions via email
AI-generated event invites
Metrics including:
Number of introductions sent
Email open rates
Total emails delivered
AI reply
Branded sender name and email address
Email relay (keeps user emails private)
Included Services:
Initial customization of introduction algorithm
Customization of onboarding and member profiling questions
2. PRICING & PAYMENT TERMS
Subscription Fee: $89 per month
Billing Cycle: Monthly, billed in advance
Payment Method: Credit card, ACH, Venmo
Late Payments: Provider reserves the right to suspend services for non-payment
3. TERM & TERMINATION
This Agreement is month-to-month
Customer may cancel at any time with written notice
No refunds will be issued for partial billing periods
Provider reserves the right to terminate service at its discretion with 7 days notice
4. CUSTOMER RESPONSIBILITIES
Customer agrees to:
Provide accurate member data and consent for outreach
Ensure compliance with applicable email and privacy laws (e.g., CAN-SPAM, GDPR if applicable)
Not use the service for spam, harassment, or unlawful purposes
5. LIMITATIONS OF SERVICE
The Customer acknowledges:
AI-generated content may not always be accurate, appropriate, or error-free
Provider does not guarantee:
Response rates
Engagement levels
Business outcomes from introductions
Provider is not responsible for how members respond to communications
6. DATA & PRIVACY
Customer retains ownership of all member data
Provider may process data solely to deliver the service
Provider will not sell or share Customer data with third parties
Customer is responsible for obtaining all necessary user consents
7. INDEMNIFICATION
Customer agrees to indemnify, defend, and hold harmless Provider from any claims, damages, liabilities, or expenses arising out of:
Customer’s misuse of the service
Violation of applicable laws or regulations
Unauthorized or unlawful use of member data
Provider agrees to indemnify Customer against claims arising from Provider’s gross negligence or willful misconduct.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Provider’s total liability shall not exceed the amount paid by Customer in the previous 3 months
Provider shall not be liable for indirect, incidental, or consequential damages, including lost revenue or reputational harm
9. MODIFICATIONS
Provider may update this Agreement with 30 days notice. Continued use of the service constitutes acceptance of updated terms.
10. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
11. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements. By accessing or using the Service, you agree to be bound by these Terms.
